1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

2. Description of Service

LeadStream is a SaaS platform that helps users discover high-intent leads on Reddit and generate AI-powered reply suggestions. Our Service includes:

• Automated monitoring of Reddit for relevant lead opportunities
• AI-generated reply suggestions for Reddit engagement
• Lead tracking and management dashboard
• Integration with Reddit via OAuth for posting replies

3. User Accounts and Registration

To use our Service, you must:

• Create an account through our authentication provider (Clerk)
• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account

4. Reddit Integration and Compliance

When using our Service to engage on Reddit:

• You must comply with Reddit's Terms of Service and Content Policy at all times
• You are responsible for reviewing and approving all AI-generated replies before posting
• You must not use our Service for spam, harassment, or any prohibited activities on Reddit
• You acknowledge that LeadStream is not responsible for Reddit's actions, including account suspensions or content removals
• You grant us permission to access your Reddit account only for the purposes of lead discovery and posting approved replies

5. Subscription and Payment Terms

Our Service is offered on a subscription basis:

• Subscription fees are billed in advance on a monthly or annual basis
• Payments are processed through Paystack, and you agree to their terms of service
• All fees are non-refundable except as required by law or as explicitly stated in our refund policy
• We reserve the right to change our pricing with 30 days' notice
• Your subscription will automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings

6. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the company, a company employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any automated use of the system, such as using scripts to send comments or messages
• To interfere with or disrupt the Service or servers or networks connected to the Service

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by LeadStream and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you provide to the Service, including product URLs, descriptions, and any replies you post to Reddit. By using the Service, you grant us a license to use, store, and process your content solely for the purpose of providing the Service to you.

8. AI-Generated Content

Our Service uses artificial intelligence to generate reply suggestions:

• AI-generated replies are suggestions only and should be reviewed and edited by you before posting
• You are solely responsible for all content posted to Reddit using our Service
• We do not guarantee the accuracy, appropriateness, or compliance of AI-generated content
• You must ensure all posted content complies with Reddit's rules and applicable laws

9. Service Availability and Modifications

We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Service is unavailable at any time or for any period.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through your account settings.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIM AND NEGATE ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEADSTREAM, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless LeadStream and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
